Free POC Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your application to and participation in the Free Proof of Concept ("Free POC") program offered by Chromosis Technologies Pvt Ltd ("Chromosis", "we", "us", or "our").

By submitting an application for the Free POC program, you acknowledge that you have read, understood, and agree to be bound by these Terms.

3. Selection Process and Criteria

3.1 Evaluation Process: All applications will be reviewed by our technical team. If your application is shortlisted, we will:

• Contact you within 48 hours for an initial discussion call
• Discuss your project requirements, technical challenges, and objectives
• Assess the feasibility and scope of the proposed POC
• Determine mutual fit and alignment

3.2 Selection Criteria: Acceptance into the Free POC program is based on mutual agreement following the initial call. We consider factors including but not limited to:

• Technical Feasibility: Whether the proposed POC can be realistically completed within 2 weeks
• Scope Clarity: Clear definition of the specific feature or assumption to validate
• Mutual Fit: Alignment between your needs and our expertise
• Project Intent: Genuine intent to validate a technical concept (not to obtain free development work)
• Resource Availability: Availability of our senior engineers and monthly slot capacity
• Strategic Alignment: Potential for meaningful collaboration and learning

3.3 Final Decision: The final decision to accept or reject an application rests solely with Chromosis Technologies Pvt Ltd and will be communicated via email.

4. Program Scope and Deliverables

4.1 What is Included:

• A focused, functional prototype to validate a specific technical assumption or feature
• Up to 2 weeks of development time by our senior engineers
• Full source code ownership upon delivery
• Technical feasibility assessment and recommendations
• Clear documentation of what was built and next steps

4.2 What is NOT Included:

• Production-ready code or a complete MVP
• Polished UI/UX design or branding
• Ongoing support, maintenance, or bug fixes after delivery
• Deployment to production environments
• Training or documentation beyond basic technical notes
• Multiple iterations or scope changes after agreement

5. Intellectual Property Rights

5.1 Code Ownership: Upon delivery of the completed POC, you will receive full ownership of the source code developed specifically for your project.

5.2 Third-Party Components: The POC may include open-source libraries, frameworks, or tools that remain subject to their respective licenses.

5.3 Your Information: You retain ownership of all information, ideas, and materials you provide to us. We will not use your confidential information for purposes other than delivering the POC without your consent.

6. Limitations and Disclaimers

6.1 No Warranties: The Free POC is provided "AS IS" without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

6.2 Limitation of Liability: Chromosis Technologies Pvt Ltd shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the POC deliverables.

6.3 No Guarantee of Results: We do not guarantee that the POC will meet your specific requirements or that it will be error-free. The POC is intended for validation purposes only.

6.4 Timeline: While we aim to deliver within 2 weeks, timelines may vary based on project complexity and unforeseen technical challenges.

7. Applicant Responsibilities

By applying to the Free POC program, you agree to:

• Provide accurate and complete information in your application
• Respond promptly to our communications during the evaluation process
• Participate in the initial scoping call if your application is shortlisted
• Provide necessary information, access, or resources required for POC development
• Use the POC deliverables responsibly and at your own risk
• Not misrepresent the Free POC program or use it for purposes other than technical validation

8. Confidentiality

8.1 Your Information: We will treat your application details and project information as confidential and will not share them with third parties without your consent, except as required by law.

8.2 Case Studies: With your prior written consent, we may use anonymized or attributed case studies of the POC for marketing purposes.

9. Termination

Chromosis reserves the right to terminate or suspend the Free POC program or any individual project at any time if we determine that the Terms have been violated, or if continuing the project is not feasible or appropriate.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page. Your continued participation in the Free POC program after changes constitutes acceptance of the modified Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the Free POC program shall be subject to the exclusive jurisdiction of the courts in Bangalore, India.
